Terms of Service for Tango
Rights Granted
Subject to Customer's compliance with this Agreement, MakeGov grants Customer a worldwide, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Tango platform and federal procurement data according to your selected subscription tier (Free, Micro, Small, Medium, Large, or Enterprise) during the applicable subscription term.
Use of our Services
You may use Tango's federal procurement and assistance data, documentation, software, and APIs (collectively "Services") in accordance with your subscription tier's usage limits and permitted use cases. You may not:
- sell, lease, license, or sublicense the Services;
- decompile, disassemble, or reverse engineer any part of the Services;
- share copies of the Services with others not licensed under this Agreement;
- make so much of the functionality of the Services available to others as software-as-a-service that the service competes with the Services for customers;
- assist or allow others to use the Services against the terms of this Agreement;
- use the Services in a manner that exceeds reasonable request volume or constitutes excessive or abusive usage;
- download or store content as a searchable database or construct a database or dataset using content except as authorized by MakeGov;
- introduce any malicious or harmful code, viruses, Trojan horses, worm, time bombs, cancelbots, or other malware into the Services.
Use of Customer Data
"Customer Data" means any information that is submitted to the Services (such as search queries) by or on behalf of either Customer or its users. Customer grants MakeGov a non-exclusive, worldwide, royalty-free license to use, copy, transmit, sublicense, index and store Customer Data but only (i) to the extent necessary to perform its obligations under this Agreement; and (ii) to develop, modify, improve, support and operate the Services. MakeGov may also collect and use deidentified usage information to develop, modify, improve, support, and operate the Services.
Ownership
As between the parties, all right, title and interest (including all copyrights, trademarks and other intellectual property rights) in the Content, Services and Development Materials belongs to MakeGov or its third-party suppliers. MakeGov does not acquire ownership in Customer's usage of the Services or Content. Except as stated in this Agreement, MakeGov does not grant Customer any rights to patents, copyrights, trade secrets, trademarks, or any other rights related to the Services. MakeGov reserves all rights not granted under this Agreement.
Changes to Services
The Services, as well as the features and functionality of the Services, may be enhanced, updated, withdrawn, reorganized, combined, or otherwise changed by MakeGov without notice.
Invoices, Fees, and Payment
MakeGov will invoice the Customer per the order. The Customer will pay the fees on the order, using the payment method specified on the invoice.
Billing Errors
The Customer will give MakeGov notice of any suspected billing error on an invoice before the deadline for payment. Both sides will work to resolve any potential billing errors promptly and in good faith. The Customer will pay the undisputed part of each invoice by the original deadline, and any part of the invoice resolved later within seven days of resolution.
Taxes
The Customer will pay all tax on fees under this Agreement, except tax on MakeGov's income. If all or any part of any payment owed to MakeGov under this Agreement is withheld, based upon a claim that such withholding is required pursuant to applicable tax laws, the payment to MakeGov shall be increased by the amount necessary to result in a net payment to MakeGov of the amount set forth in the Order Form.
Term and Renewal
This Agreement will continue for one year after the trial period ends, then renew automatically for an additional year at a time. Either side can stop this Agreement from renewing by giving notice at least ninety days before it renews again.
Termination
Either side can terminate this Agreement immediately if the other side breaches and fails to cure their breach within fourteen days of notice.
Throttling and Suspension
MakeGov may suspend access to the Services for scheduled or emergency maintenance. MakeGov may throttle, block, suspend, or otherwise limit Customer's access to or use of some or all of the Services if:
- Customer's usage exceeds reasonable limits;
- Customer violates any of the restrictions;
- Customer's use poses a security risk to MakeGov or any third party;
- MakeGov suspects that the Customer's use is fraudulent or could subject MakeGov or any third party to liability;
- Customer has ceased to operate in the ordinary course, made an assignment for the benefit of creditors or similar disposition of its assets, or become the subject of any bankruptcy, reorganization, liquidation, dissolution or similar proceeding.
Technical Support
MakeGov will respond to support requests from Customer and each authorized user about configuration of, use of, and problems with the Services and its documentation via email or Slack.
Warranties
THE SERVICE IS PROVIDED BY COMPANY ON AN "AS IS" AND "AS AVAILABLE" BASIS. COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE, THE ADVISORY SERVICES, OR THE INFORMATION, CONTENT OR MATERIALS INCLUDED THEREIN. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE, THE MAKEGOV CONTENT, AND ANY ADVISORY SERVICES OR OTHER SERVICES OR ITEMS OBTAINED FROM US IS AT YOUR SOLE RISK.
NEITHER COMPANY NOR ANY PERSON ASSOCIATED WITH COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICE OR THE ADVISORY SERVICES.
Liability Disclaimer
MakeGov disclaims any warranties the law might otherwise imply, like warranties of merchantability, fitness for any particular purpose, title, or noninfringement.
Unforeseeable Damages
Neither side will be liable for breach-of-contract damages they could not have reasonably foreseen when entering into this Agreement.
Liability Cap
Except as provided in subsection (d), neither side's total liability for breach of this Agreement will exceed the amount of fees MakeGov received from the Customer under this Agreement during the twelve months before the first claim is made. This limit applies even if the side liable is advised that the other may suffer damages, and even if the Customer paid no fees at all.
Governing Law
This Agreement will be governed by the law of the State of Wisconsin.
